Terms of Use

These Terms of Use ("Terms") govern your access to and use of Memrary's websites, apps, and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
The Service is operated by Memrary UG (in formation), Germany ("Memrary", "we", "us", or "our"). For legal notices, contact legal@memrary.com. For customer support, contact support@memrary.com.
1. What Memrary is
Memrary is a personal and family memory-keeping service. It lets you create memory books, store posts and media, organize memories, and share selected content with people you choose.
Memrary is for personal and family use only. It is not intended for business, enterprise, regulated professional, medical, legal, financial, or records-management use.
2. Eligibility and age
You must be at least 16 years old to create an account, create books, or use Memrary independently.
Parents and legal guardians may create memory books that include memories about their children, provided they have the necessary rights, authority, and consent. Children under 16 may not create their own Memrary accounts or books unless we introduce a specific family-account feature with appropriate parental-consent controls.
By using Memrary, you confirm that you meet these requirements and that the information you provide is accurate.
3. Your account
You are responsible for your account and for activity under your account. You must use a valid email address because Memrary uses magic-link authentication.
You agree not to:
- provide false account information;
- impersonate another person;
- access another person's account without permission;
- attempt to bypass authentication, quotas, security controls, or access restrictions;
- use Memrary in a way that disrupts the Service or harms other users.
You must notify us promptly if you believe your account has been compromised.
4. Privacy
Our Privacy Policy explains how we collect, use, store, and protect personal data. By using the Service, you acknowledge that we process personal data as described in the Privacy Policy.
5. Your content and ownership
You keep ownership of the content you create or upload to Memrary, including posts, photos, videos, audio, tags, comments, and related metadata ("User Content").
You are responsible for your User Content. You represent and warrant that you have all rights, permissions, and consents needed to upload, store, share, and otherwise use your User Content through Memrary. This includes consent from people who appear in or are described by your content where consent is legally or ethically required.
Memrary does not claim ownership of your User Content.
6. License you give Memrary
To operate the Service, you grant Memrary a limited, worldwide, non-exclusive, royalty-free license to host, store, back up, reproduce, process, transmit, display, and make technical modifications to your User Content solely as needed to:
- provide the Service to you and people you choose to share with;
- store and back up your content;
- generate thumbnails, previews, compressed versions, media derivatives, and delivery URLs;
- enable search, organization, export, sharing, invitations, circles, follows, and co-ownership features;
- operate security, abuse-prevention, and content-moderation systems;
- comply with law and enforce these Terms.
This license does not allow Memrary to use your private content for advertising or unrelated marketing. We do not use your User Content to train AI models.
If you make content public, you grant Memrary the license needed to make that content publicly available through the Service until you remove public access or delete the content, subject to technical caching and legal retention limits.
7. Private, shared, and public content
Content is private by default. You control whether content is private, shared with selected circles or invited people, available to co-owners or followers, or public.
If you make content public, it may be accessible to anyone on the internet. Public content may be indexed, cached, copied, archived, or redistributed by search engines or third parties outside Memrary's control. We cannot guarantee that public content will disappear from the internet after you remove it from Memrary.
Only book owners can export or download a full book export from Memrary. Other viewers may view shared content inside Memrary according to the permissions set by the book owner.
Memrary will not use public posts in Memrary marketing materials without separate permission from the relevant rights holder, except for ordinary technical display of public content as part of the Service.
8. Prohibited uses and content
You may not use Memrary for illegal, harmful, abusive, exploitative, or rights-violating activity. You may not upload, create, share, publish, request, promote, or distribute content that includes or facilitates:
- child sexual abuse material, child exploitation, grooming, or sexualized content involving minors;
- non-consensual intimate imagery, sexual extortion, or voyeuristic content;
- pornographic distribution or sexual services content;
- terrorism, violent extremism, or recruitment for extremist groups;
- credible threats, incitement to violence, or instructions for violent wrongdoing;
- graphic violence, gore, or cruelty outside a lawful and appropriate personal, documentary, educational, or historical context;
- hate speech, harassment, stalking, or targeted abuse;
- illegal drugs, controlled-substance trafficking, or instructions for illegal drug activity;
- weapons trafficking or instructions intended to facilitate serious harm;
- fraud, scams, phishing, impersonation, or deceptive activity;
- malware, spam, scraping, credential theft, or attempts to compromise systems;
- doxxing, unlawful disclosure of private information, or privacy violations;
- copyright, trademark, publicity, privacy, or other intellectual-property or personal-rights infringement;
- any other content or activity that is illegal in Germany, the EU, the UK, the US, or any jurisdiction where the content is uploaded, viewed, or processed.
Ordinary family memories, including lawful non-sexual photos of children, are allowed. Lawful medical, educational, artistic, documentary, or historical material may be allowed when it is not exploitative, abusive, pornographic, harassing, or otherwise illegal. Memrary may still restrict or remove such content if we reasonably believe it creates legal, safety, privacy, or abuse risk.
9. Content moderation and AI systems
Memrary may use automated systems, including AI models hosted within AWS infrastructure, to detect, reject, restrict, or remove illegal or prohibited content, including during upload.
For privacy reasons, Memrary does not use your User Content to train AI models and does not route your content to third-party foundation model providers through AWS Bedrock. Moderation models are AWS-owned, open-weight, or custom models hosted within our AWS environment or AWS perimeter.
Memrary may also conduct human review of content or account information when reasonably necessary for safety, abuse prevention, security, legal compliance, Terms enforcement, or support with user consent.
We may remove content, restrict sharing, disable public access, suspend accounts, terminate accounts, preserve evidence, or report content to law enforcement, child-safety organizations, payment providers, hosting providers, or regulators when required or appropriate.
You may appeal moderation or account-enforcement decisions by contacting legal@memrary.com.
10. Reporting abuse or rights violations
If you believe content on Memrary violates these Terms, your rights, or applicable law, contact legal@memrary.com with enough information for us to investigate.
For copyright complaints, please include:
- your name and contact information;
- identification of the copyrighted work or right allegedly infringed;
- identification of the content you believe is infringing;
- a statement that you have a good-faith belief the use is not authorized;
- a statement that the information in your notice is accurate;
- confirmation that you are the rights holder or authorized to act for the rights holder.
We may remove or restrict allegedly infringing content and may terminate repeat infringers where appropriate.
11. Plans, subscriptions, and payments
Memrary currently offers a free tier. Paid plans are planned but may not be available yet.
When paid plans are introduced:
- plan features, storage limits, prices, and billing periods will be shown before purchase;
- payments will be processed by Stripe or another disclosed payment provider;
- subscriptions may renew automatically until cancelled;
- monthly subscriptions cancel from the next billing month;
- yearly subscriptions may be refunded for unused full months after cancellation;
- no free trials are promised unless explicitly offered;
- taxes may apply depending on your location.
If a payment fails, we may provide a 14-day grace period. After that, if your account exceeds the free-tier quota, your account or affected books may become read-only until payment is resolved, you reduce usage below the free quota, or you upgrade again. Read-only mode generally allows access to existing content but prevents adding new content above quota.
Nothing in this section limits refund, cancellation, withdrawal, or consumer rights that apply by law.
12. Export, deletion, and portability
Memrary is designed to avoid lock-in. Book owners can export their books where export tools are available.
You may delete content and may delete your account through self-service controls where available or by contacting legal@memrary.com. Account deletion generally deletes owned books, posts, media, sharing links, invitations, sessions, and related service data, subject to backup retention and legal, billing, security, abuse-prevention, or dispute-resolution exceptions.
Deleted posts and edit/version history are generally retained for 30 days. Backups and snapshots may be retained for up to 30 days.
13. Service availability and durability
Memrary is built for long-term memory keeping, but we do not promise that the Service will be uninterrupted, error-free, permanently available, or suitable for storing information whose loss or disclosure would cause serious harm.
No online service can guarantee absolute security or permanent availability. You are encouraged to export and keep your own backups of important memories.
We may change, suspend, limit, or discontinue parts of the Service. If we decide to shut down the Service entirely, we will try to provide at least 90 days' notice and a reasonable opportunity to export your data, unless legal, security, emergency, insolvency, or technical circumstances make that impractical.
14. Security and sensitive content
Memrary uses reasonable technical and organizational measures to protect the Service. However, the Service is not currently end-to-end encrypted, and no security system is perfect.
You should not store content in Memrary if unauthorized access, loss, or disclosure would cause substantial harm unless you accept that residual risk. This includes highly sensitive legal, medical, financial, credential, or safety-critical information.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
15. Suspension and termination
We may suspend, restrict, or terminate your account or access to content if we reasonably believe that:
- you violated these Terms;
- your content or activity is illegal or creates legal, safety, security, privacy, or abuse risk;
- your payment failed and your account remains over quota after any applicable grace period;
- your use threatens the integrity or availability of the Service;
- we are required or advised to do so by law, court order, regulator, payment provider, infrastructure provider, or law-enforcement authority.
Where reasonably practical, we will provide notice. We may act without prior notice for urgent safety, security, legal, or abuse-prevention reasons.

16. Third-party services
Memrary uses infrastructure and payment providers such as AWS, Cloudflare, and Stripe. Their services may be subject to their own terms and privacy notices. Memrary is not responsible for third-party websites, services, or content that are not controlled by Memrary.
17. Intellectual property in the Service
Memrary's software, design, branding, trademarks, logos, and other Service materials are owned by Memrary or its licensors and are protected by intellectual-property laws. These Terms do not grant you ownership of Memrary's intellectual property.
You may not copy, modify, reverse engineer, resell, or exploit the Service except as allowed by law or with our written permission.
18. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or data preservation.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
19. Limitation of liability
To the maximum extent permitted by law, Memrary is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or content, arising from or related to the Service or these Terms.
Nothing in these Terms excludes or limits liability for intent, gross negligence, death or personal injury caused by negligence, mandatory product liability, statutory consumer rights, data-protection rights, or any other liability that cannot legally be excluded or limited.
20. Your responsibility to Memrary
To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, damages, costs, and expenses arising from your User Content, your misuse of the Service, your violation of these Terms, or your violation of another person's rights.
This section does not limit mandatory consumer rights or impose responsibility where prohibited by applicable law.
21. Changes to these Terms
We may update these Terms as the Service evolves. For material changes, we will provide at least 30 days' notice where practical, for example by email, in-app notice, or website notice. Changes needed for legal, safety, or security reasons may take effect sooner.
If you continue using the Service after updated Terms take effect, you accept the updated Terms. If you do not agree, you must stop using the Service and may export or delete your data where available.
22. Governing law and courts
These Terms are governed by the laws of Germany, excluding conflict-of-law rules, unless mandatory consumer-protection laws in your country of residence require otherwise.
The courts of Germany will have jurisdiction, subject to any mandatory rights you have to bring claims in your country of residence or another forum required by applicable consumer law.
